You must independently verify all outputs with a suitably qualified professional before making any construction, design, compliance, or procurement decision. See Section 8 for full details.

1. Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you (the "Customer" or "you") and AskThePlans ("AskThePlans", "we", "us", "our"), governing your access to and use of the AskThePlans platform, web application, iOS application, APIs, and related services (collectively, the "Service").

By clicking "I agree", creating an account, or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, you must not access or use the Service.

These Terms should be read together with our Privacy Policy, which is incorporated into these Terms by reference.

2. Definitions

Agreementmeans these Terms of Service together with the Privacy Policy and any Order Form or plan documentation.
Authorised Usermeans an individual invited by the account holder to access a workspace under the account holder's subscription.
Customer Contentmeans all documents, drawings, files, text, data, queries, and other materials uploaded or submitted to the Service by the Customer or their Authorised Users.
Documentationmeans any user guides, help centre articles, or technical specifications made available by AskThePlans.
Feesmeans all amounts payable for access to the Service under the applicable subscription plan.
Outputsmeans AI-generated answers, summaries, extractions, and other content generated by the Service in response to Customer queries.
Servicemeans the AskThePlans platform, web application, iOS application, APIs, and related tools and features.
Subscription Periodmeans the monthly or annual billing period for which the Customer has subscribed.

3. Description of Service

AskThePlans is an AI-powered construction document intelligence platform for Australian residential building teams. The Service allows users to upload project documents — including architectural plans, structural drawings, engineering specifications, approvals, schedules, and related materials — and ask questions about that content using text or voice queries. The Service generates AI-powered, source-backed answers referencing the uploaded documents and, where applicable, supported reference materials including the National Construction Code (NCC).

The Service includes: document upload and indexing; AI-powered question and answer functionality; multiple specialised AI agents (including Tradie, Builder, Certifier, Architect, and Client agents); conversation history and project memory; voice query capabilities; an iOS native application with Siri Shortcuts integration; team workspace, channels, and messaging features; task and milestone management; and compliance reference capabilities.

AskThePlans reserves the right to modify, add to, or remove features of the Service with reasonable prior notice to Customers.

4. Account Registration and Security

  • You must provide accurate, complete, and current information when creating an account and keep it updated.
  • You must be at least 18 years of age and have legal capacity to enter binding contracts.
  • You are solely responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account.
  • You must notify AskThePlans immediately using the contact address below if you become aware of any actual or suspected unauthorised access to your account.
  • AskThePlans is not liable for any loss or damage arising from unauthorised access to your account caused by your failure to secure your credentials.
  • One account may not be shared across multiple individuals. Each user must have their own login credentials.

5. Authorised Users and Workspace Accounts

Depending on your subscription plan, you may invite other individuals ("Authorised Users") to access your workspace. The account holder is responsible for:

  • all activity conducted within the workspace, including all actions taken by Authorised Users;
  • ensuring all Authorised Users are aware of and comply with these Terms;
  • ensuring Authorised Users are informed of the AI disclaimer in Section 8; and
  • revoking access for any Authorised User who leaves the organisation or whose access should be restricted.

Any breach of these Terms by an Authorised User will be treated as a breach by the account holder. AskThePlans may hold the account holder responsible for any loss or liability caused by an Authorised User's violation of these Terms.

Where a Subscription Plan specifies a maximum number of users, the account holder must not exceed that limit without upgrading to an appropriate plan.

6. Acceptable Use

You must use the Service only for its intended purpose and in compliance with all applicable laws. You must not, and must ensure Authorised Users do not:

  • use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • upload, transmit, or make available content that infringes any third-party intellectual property rights, including copyright in architectural drawings or engineering documents
  • upload, transmit, or make available content that is defamatory, fraudulent, malicious, harassing, or that constitutes a privacy violation
  • upload content that you do not have the right to upload, process, or sub-licence
  • attempt to gain unauthorised access to any part of the Service, its underlying systems, or other users' accounts or data
  • reverse engineer, decompile, disassemble, or attempt to extract the source code, architecture, or AI models underlying the Service
  • use outputs generated by the Service as training data for any competing AI model, system, or product
  • scrape, crawl, or systematically extract data or outputs from the Service in an automated manner beyond normal use
  • use the Service to develop or market a competing product or service
  • impersonate any person or entity or misrepresent your affiliation with any person or entity
  • interfere with or disrupt the integrity or performance of the Service or its infrastructure
  • circumvent any usage limits, access controls, or security features of the Service
  • introduce malware, viruses, or other harmful code into the Service
  • use the Service in any way that could expose AskThePlans to legal liability

AskThePlans reserves the right to investigate and take action in relation to any suspected breach of this section, including suspension or termination of access without notice.

7. Your Content — Ownership and Licence

Ownership

You retain all intellectual property rights in Customer Content that you upload to the Service. AskThePlans does not claim ownership of your Customer Content. Nothing in these Terms transfers any intellectual property rights in your Customer Content to AskThePlans.

Processing Licence

By uploading Customer Content to the Service, you grant AskThePlans a non-exclusive, royalty-free, worldwide licence to: store, copy, transmit, host, cache, parse, index, embed, query, analyse, and process the Customer Content using AI and related technologies; generate Outputs derived from the Customer Content; and sub-licence these rights to our AI and cloud infrastructure providers (as listed in the Privacy Policy) — solely for the purpose of providing the Service to you. This licence does not extend to any other purpose, including training AI models (see Privacy Policy, Section 4).

This licence terminates when you delete the relevant content from the Service or upon account closure, subject to applicable retention obligations.

Warranty as to Rights

By uploading any Customer Content, you represent and warrant that:

  • you are the owner of all intellectual property rights in that content, or you hold a valid licence or permission from the owner sufficient to grant AskThePlans the rights described above;
  • uploading and processing the content through the Service will not infringe any third party's intellectual property rights, confidentiality obligations, or other legal rights;
  • you have all necessary consents and permissions, including from your clients, architects, engineers, or other document owners, to upload the content and have it processed by the Service.

Output Ownership

Subject to these Terms and to the extent permitted by law, AskThePlans assigns to you all right, title, and interest in Outputs generated in response to your queries. You acknowledge that Outputs are AI-generated and that their copyright status may be uncertain under applicable law. You are solely responsible for how you use Outputs.

Feedback

If you provide AskThePlans with feedback, suggestions, or ideas about the Service, you grant AskThePlans a royalty-free, worldwide, perpetual licence to use that feedback for any purpose, including product improvement, without obligation to you.

8. AI Outputs — Disclaimer and Limitations

Not professional advice

All Outputs generated by the Service are AI-derived information outputs for informational and project-assistance purposes only. They do not constitute, and must not be relied upon as, architectural, engineering, structural, building, fire safety, compliance, legal, or any other form of professional or licensed advice. No Output constitutes a compliance certificate, a deemed-to-satisfy determination, a performance solution, a building approval, or any other regulatory instrument.

AI limitations and potential inaccuracy

AI-generated Outputs may contain errors, omissions, inaccuracies, or hallucinations — including answers that appear confident and detailed but are materially incorrect. The appearance of a source citation does not guarantee that the answer correctly reflects the cited document. Language models are probabilistic tools, not authoritative reference systems.

Document limitations

Outputs are based solely on documents you have uploaded. AskThePlans does not verify whether uploaded documents are current, complete, approved, superseded, or consistent with as-built conditions. AskThePlans has no means of knowing whether uploaded drawings reflect the most recent revision, amendment, or approval.

Mandatory independent verification

All Outputs must be independently reviewed and verified by a suitably qualified professional — including a licensed builder, certifier, engineer, or other relevant practitioner — before being relied upon for any construction, compliance, design, procurement, or safety decision. You are solely responsible for verifying the accuracy of Outputs and for all decisions made in reliance on them.

Regulatory compliance

The National Construction Code, state and territory building regulations, development approvals, and local planning requirements are complex and require professional interpretation. No Output substitutes for the professional judgement of a licensed certifier, building surveyor, or engineer. You are solely responsible for ensuring your construction activities comply with all applicable laws and regulations.

Third-party AI models

Outputs are generated using third-party AI model providers (including OpenAI). AskThePlans does not control the underlying models, their training data, update cycles, or error rates. AskThePlans is not responsible for any error, bias, or limitation originating in the underlying model.

User acknowledgement

By using the Service, you acknowledge and accept that: (a) you have read and understood this Section 8; (b) you will not rely on Outputs as professional or licensed advice; (c) you will independently verify Outputs before acting on them; and (d) AskThePlans is not responsible for any loss, damage, or liability arising from your reliance on an Output without independent verification.

9. Confidentiality

Each party ("Recipient") agrees to treat all non-public information disclosed by the other party ("Discloser") in connection with this Agreement as confidential ("Confidential Information") and to protect it using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

AskThePlans will treat all Customer Content as Confidential Information belonging to you. AskThePlans will not use your Customer Content for any purpose other than providing the Service and will not disclose it to any third party except:

  • to our AI and cloud infrastructure subprocessors as necessary to deliver the Service, under confidentiality obligations;
  • as required by applicable law, court order, or government authority (we will notify you to the extent permitted by law before disclosing); or
  • with your express consent.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no act or omission of the Recipient; (b) was already known to the Recipient at the time of disclosure; (c) is independently developed by the Recipient without reference to the Confidential Information; or (d) is required to be disclosed by law or court order.

10. Intellectual Property

AskThePlans and its licensors retain all intellectual property rights in the Service, including the platform, web and iOS applications, AI systems, prompts and agent architectures, algorithms, answer formats, visual interfaces, graphics, trademarks, trade names, service marks, logos, and all Documentation. All rights not expressly granted to you in these Terms are reserved.

Subject to your compliance with these Terms and payment of applicable Fees, AskThePlans grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service during the Subscription Period solely for your internal business purposes.

You must not:

  • copy, modify, adapt, translate, or create derivative works of the Service;
  • sell, resell, rent, lease, sublicense, or otherwise transfer access to the Service to any third party;
  • use AskThePlans' trademarks or branding without prior written consent; or
  • use Outputs to build, train, or improve any competing AI product or service.

11. Payment, Billing and Auto-Renewal

Fees

Fees are as displayed on the pricing page at the time of subscription. AskThePlans may update Fees with at least 30 days' prior written notice by email to your registered address. Continued use after the notice period constitutes acceptance of the revised Fees. If you do not accept the revised Fees, you may cancel before they take effect.

Auto-Renewal

Subscriptions automatically renew at the end of each Subscription Period for an equivalent period at the then-current Fee. AskThePlans will send a renewal reminder by email to your registered address at least 14 days before any renewal charge. You may cancel at any time before the renewal date via your account settings or by contacting us directly. Cancellation is effective at the end of the current Subscription Period; no partial-period refunds are provided.

Free Trial

Where a free trial is offered, it commences on the date you activate your account. No credit card is required during the trial period. At the end of the trial, access to paid features will require a subscription. AskThePlans may end or modify the trial at any time with reasonable notice.

Billing Disputes

If you believe any charge is incorrect, you must contact AskThePlans using the address below within 30 days of the disputed charge appearing. We will investigate and respond within 10 business days. You must follow this internal dispute process before initiating a chargeback or payment dispute with your bank or card provider. Initiating a chargeback without first following this process may result in suspension of your account and recovery action for the disputed amount.

Taxes

Fees are inclusive of GST unless stated otherwise. You are responsible for all other applicable taxes in your jurisdiction.

Non-Payment

If Fees are not paid when due, AskThePlans may suspend access to the Service after providing written notice and a reasonable opportunity to remedy the non-payment (not less than 7 days). Continued non-payment after suspension may result in termination.

12. Service Availability

AskThePlans will use commercially reasonable efforts to make the Service available at all times. However, we do not guarantee uninterrupted, error-free, or continuous availability.

The Service may be temporarily unavailable due to:

  • scheduled maintenance (we will provide reasonable advance notice where practicable);
  • unplanned outages, infrastructure failures, or third-party service disruptions; or
  • events outside our reasonable control (see Section 21 — Force Majeure).

AskThePlans is not liable for any loss, cost, or inconvenience arising from unavailability of the Service except to the extent required by applicable law.

13. Privacy and Data

AskThePlans handles personal information in accordance with the Privacy Act 1988 (Cth), the Australian Privacy Principles, and our Privacy Policy, which is incorporated into these Terms.

You consent to the collection, use, and disclosure of personal information as described in the Privacy Policy. By inviting Authorised Users to your workspace, you represent that you have authority to consent on their behalf or that you have obtained their consent separately.

Customer Content is stored on Microsoft Azure infrastructure. As detailed in the Privacy Policy, certain data is processed by third-party service providers, including OpenAI (United States), in connection with AI response generation. You acknowledge these overseas transfers and the safeguards described in the Privacy Policy.

14. Data Breach Notification

AskThePlans is bound by the Notifiable Data Breaches (NDB) scheme under Part IIIC of the Privacy Act 1988 (Cth). In the event of a data breach that is likely to result in serious harm to affected individuals, AskThePlans will assess and notify affected individuals and the Office of the Australian Information Commissioner (OAIC) as required under the NDB scheme.

If you discover or suspect any breach involving Customer Content or personal information held in your workspace, you must notify AskThePlans promptly using the contact address below so we can investigate and take appropriate action in compliance with our obligations.

AskThePlans will cooperate with you in good faith to notify affected individuals where the breach involves Customer Content that you are responsible for under applicable privacy law.

15. Warranties

AskThePlans warrants that the Service will be provided with reasonable care and skill and substantially in accordance with the Documentation under normal operating conditions.

Except as expressly stated above, and to the maximum extent permitted by law, the Service is provided “as is” and “as available”. AskThePlans makes no representations or warranties, express or implied, regarding:

  • the accuracy, completeness, reliability, or fitness for purpose of any Output;
  • the Service being free from errors, interruptions, or defects;
  • the Service being suitable for any particular purpose; or
  • the security of data transmitted through the internet.

Australian Consumer Law (ACL) notice: Nothing in these Terms excludes, restricts, or modifies any guarantee, warranty, right, or remedy that you are entitled to under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or other applicable law that cannot lawfully be excluded. Where the ACL applies and you are a “consumer” within the meaning of section 3 of the ACL, our liability for failure to comply with a consumer guarantee is limited under section 64A to the resupply of the services or payment of the cost of having the services supplied again, except where it would not be fair or reasonable to limit liability in that way.

16. Limitation of Liability

Cap on direct liability

To the maximum extent permitted by law, AskThePlans' total aggregate liability to you for all claims under or in connection with this Agreement — whether in contract, tort (including negligence), statute, or otherwise — shall not exceed the total Fees paid by you to AskThePlans in the 12 months immediately preceding the event giving rise to the claim.

Exclusion of consequential loss

To the maximum extent permitted by law, AskThePlans excludes all liability to you for any: indirect, consequential, incidental, special, or punitive loss or damage; loss of profits, loss of revenue, or loss of anticipated savings; increased construction, rework, or demolition costs; regulatory penalties or fines; loss of data or corruption of data; loss of goodwill or reputation; or business interruption — in each case whether arising in contract, tort (including negligence), statute, or otherwise, and even if advised of the possibility of such loss.

Reliance on AI Outputs

Without limiting the above, AskThePlans expressly excludes all liability for any loss or damage — including rework costs, construction defects, compliance failures, or personal injury — arising directly or indirectly from your or an Authorised User's reliance on an Output without independent professional verification.

Carve-outs — these limits do not apply to:

  • liability for death or personal injury caused by AskThePlans' negligence;
  • liability for fraud or fraudulent misrepresentation by AskThePlans;
  • liability that cannot lawfully be excluded or limited under the Australian Consumer Law or other applicable statute, including consumer guarantee rights under the ACL; or
  • wilful misconduct by AskThePlans.

You acknowledge that the Fees reflect the allocation of risk set out in this section and that AskThePlans would not have entered into this Agreement on different terms.

17. Indemnification

You agree to indemnify, defend, and hold harmless AskThePlans and its directors, officers, employees, and contractors from and against any third-party claims, damages, costs, and reasonable legal expenses arising directly from:

  • your breach of the IP warranty in Section 7 (uploading content without sufficient rights);
  • any allegation that Customer Content you uploaded infringes a third party's intellectual property rights;
  • your breach of applicable privacy or confidentiality obligations to third parties in connection with content uploaded to the Service; or
  • your or an Authorised User's material breach of the Acceptable Use Policy in Section 6.

This indemnity does not apply to the extent that the claim arises from AskThePlans' own negligence, fraud, or wilful misconduct. AskThePlans will give you prompt written notice of any claim subject to this indemnity and will cooperate reasonably in its defence.

18. Termination and Suspension

Termination by you

You may cancel your subscription at any time via your account settings or by contacting us directly. Cancellation takes effect at the end of the current Subscription Period. You will retain access until that date. No partial-period refunds are provided except as required by law.

Termination by AskThePlans — for cause

AskThePlans may terminate or suspend your account immediately and without notice if you:

  • materially breach these Terms and fail to remedy the breach within 14 days of written notice;
  • use the Service for illegal activity or in violation of the Acceptable Use Policy;
  • fail to pay Fees and do not remedy the non-payment within 7 days of notice; or
  • become insolvent, enter administration, or cease to carry on business.

Termination by AskThePlans — for convenience

AskThePlans may terminate this Agreement for convenience by providing you with at least 60 days' prior written notice. In such case, AskThePlans will provide a pro-rata refund of prepaid Fees for the unused portion of any prepaid Subscription Period.

Effect of termination

Upon termination or expiry: (a) your licence to access the Service ceases immediately; (b) you will have a 30-day window to export or download your Customer Content before it is deleted (unless terminated for cause, where AskThePlans may delete data immediately); and (c) all outstanding Fees become immediately payable. Sections 6, 7, 8, 9, 10, 15, 16, 17, 20, and 21 survive termination.

19. Changes to Terms

AskThePlans may update these Terms from time to time. For material changes, we will provide at least 30 days' prior written notice by email to your registered address before the changes take effect.

If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect by contacting us directly, in which case AskThePlans will provide a pro-rata refund of any prepaid Fees for the unused period.

Your continued use of the Service after the effective date of any update constitutes your acceptance of the revised Terms.

20. Governing Law and Disputes

This Agreement is governed by the laws of the State of Victoria, Australia, excluding conflict of laws rules. Each party irrevocably submits to the exclusive jurisdiction of the courts of Victoria, Australia and courts hearing appeals therefrom.

Before commencing formal legal proceedings, the parties will attempt to resolve any dispute in good faith by escalating to a senior representative of each party for a period of not less than 20 business days ("Dispute Resolution Period"). Either party may commence proceedings if the dispute is not resolved within the Dispute Resolution Period, or at any time for urgent interlocutory relief.

Nothing in this section limits any rights you may have under the Australian Consumer Law or prevents you from lodging a complaint with the Australian Competition and Consumer Commission (ACCC) or any other relevant regulator.

21. General Provisions

Entire agreement

These Terms, together with the Privacy Policy and any applicable plan documentation or order forms, constitute the entire agreement between the parties regarding the Service and supersede all prior or contemporaneous representations, discussions, or agreements.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the enforceability of the remaining provisions.

Waiver

Failure by either party to enforce any right or provision of these Terms on one occasion does not constitute a waiver of that right or provision on future occasions.

Assignment

You may not assign or transfer your rights or obligations under these Terms without AskThePlans' prior written consent. AskThePlans may assign its rights and obligations to a successor entity in the event of a merger, acquisition, or asset sale, with 30 days' notice to you.

Force majeure

Neither party is liable for delay or failure to perform obligations under these Terms to the extent caused by events beyond reasonable control, including natural disasters, acts of government, pandemics, internet infrastructure failures, or third-party service outages, provided the affected party gives prompt written notice and uses reasonable efforts to mitigate the impact.

Relationship of the parties

The parties are independent contractors. Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship.

Notices

Notices from AskThePlans to you will be delivered by email to your registered account address. Notices from you to AskThePlans must be sent by email to info@asktheplans.com. Notices are effective when sent unless the sender receives a delivery failure notification.
